Within its areas of expertise, therefore, Studio Legale Mazzoli handles transactions for the acquisition or disposal of shareholdings, businesses or business units, acting as legal advisor in the preliminary phase of the transaction (strategic, due diligence and negotiation aspects), in the negotiation phase, in the drafting and execution of the contractual agreements, and in the subsequent phase of carrying out the business.

The Firm drafts agreements governing its Clients’ business initiatives (consortium agreements, profit-sharing (associazione in partecipazione) and co-interest agreements, joint ventures, shareholders’ agreements): this professional work is carried out for both Italian and foreign companies, including through participation in transactions on behalf of investors.

This advisory work includes managing relations with the relevant public and private institutions (national and international) with a view to protecting corporate know-how , trade marks and industrial patents, in the areas of so-called antitrust and competition control.
